1 Acceptance of Terms

By accessing or using the Service in any way — including browsing the site, creating an account, or subscribing to a paid plan — you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy.

If you do not agree to these Terms, you must not use the Service. If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

2 Description of Service

TacticBoard is an online soccer tactics platform that allows users to create interactive formation diagrams, draw plays, annotate tactics, save formations, and receive instant formation analysis.

The Service is available in two tiers: a free plan with core features and an advertising-supported experience, and TacticBoard Pro with additional features and no ads. We reserve the right to modify, suspend, or discontinue any part of the Service at any time with reasonable notice where practicable.

3 Accounts & Registration

Some features require you to create an account. When registering you agree to:

• Provide accurate, current, and complete information
• Keep your password confidential and not share it with others
• Notify us immediately at support@tacticboard.app if you suspect unauthorized access to your account
• Take responsibility for all activity that occurs under your account

We reserve the right to suspend or terminate accounts that provide false information or violate these Terms.

4 Free & Pro Plans

We reserve the right to adjust the features available on each plan at any time. Material changes that reduce Pro features will be communicated to active subscribers with at least 30 days' notice.

5 Payments & Refunds

TacticBoard Pro is a paid subscription billed on a recurring basis. Payments are processed securely by Stripe. By subscribing you authorize us to charge your payment method on the applicable billing cycle.

Billing:

• Subscriptions renew automatically unless cancelled before the renewal date
• You will be charged at the start of each billing period
• Prices are displayed in USD and may be subject to applicable taxes

Cancellation:

• You may cancel your subscription at any time from your account settings
• Access to Pro features continues until the end of the current billing period
• Cancellation does not entitle you to a refund for the current period

Refunds:

• All sales are final. We do not offer refunds except where required by applicable law
• If you believe you were charged in error, contact us within 14 days at support@tacticboard.app

6 User Content

You retain full ownership of the tactics, formations, notes, and other content you create ("User Content"). By using the Service you grant TacticBoard a limited, non-exclusive, royalty-free license to store, display, and process your User Content solely as necessary to provide the Service to you.

We do not claim any ownership over your content and will not sell, share, or use it for any purpose beyond operating the Service. When you delete your account, your content will be removed in accordance with our data retention policy.

You represent that you own or have the necessary rights to any content you submit, and that it does not infringe the rights of any third party.

7 Acceptable Use

You agree to use the Service only for lawful purposes. You must not:

• Attempt to gain unauthorized access to any part of the Service or its infrastructure
• Reverse-engineer, decompile, or extract source code from the Service
• Upload or transmit malicious code, viruses, or any software designed to damage or disrupt the Service
• Scrape or systematically extract data from the Service without written permission
• Use the Service to transmit spam, unsolicited messages, or fraudulent content
• Impersonate another person or entity
• Use the Service in any way that violates applicable local, national, or international laws or regulations
• Attempt to circumvent any subscription restrictions or access Pro features without a valid subscription

8 Intellectual Property

All software, design, branding, logos, text, graphics, and other materials comprising the Service (excluding User Content) are the exclusive property of TacticBoard and are protected by copyright, trademark, and other intellectual property laws.

You may not copy, reproduce, distribute, modify, or create derivative works from any part of the Service without our express written consent. Nothing in these Terms transfers any intellectual property rights to you.

9 Formation Analysis

TacticBoard includes a formation analysis feature that provides automated insights based on your player positions and tactical setup.

We do not guarantee the accuracy, completeness, or fitness of any analysis output for any particular purpose. TacticBoard is not liable for any decisions made based on formation analysis results.

10 Third-Party Services

The Service integrates with third-party providers including Supabase (authentication and data storage), Stripe (payment processing), Render (hosting), and Google AdSense (advertising). Your use of the Service is subject to the terms and privacy policies of these providers.

We are not responsible for the practices, availability, or content of any third-party service. Links to third-party websites are provided for convenience only and do not constitute endorsement.

11 Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

We do not warrant that the Service will be uninterrupted, error-free, or free of harmful components. We do not warrant that any defects will be corrected or that the Service will meet your requirements.

12 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, TACTICBOARD AND ITS OWNERS, EMPLOYEES, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE SERVICE.

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO US IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) $10 USD.

Some jurisdictions do not allow the exclusion of certain warranties or limitations of liability. In such jurisdictions, our liability is limited to the fullest extent permitted by law.

13 Indemnification

You agree to indemnify, defend, and hold harmless TacticBoard and its owners, employees, and affiliates from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in connection with:

• Your use of or access to the Service
• Your violation of these Terms
• Your User Content
• Your violation of any third-party rights

14 Termination

We may suspend or terminate your account and access to the Service at our discretion, with or without notice, if we believe you have violated these Terms or if required by law.

You may terminate your account at any time by contacting us at support@tacticboard.app. Upon termination, your right to use the Service ceases immediately. Provisions of these Terms that by their nature should survive termination — including ownership, disclaimers, limitations of liability, and indemnification — will survive.

15 Governing Law

These Terms are governed by and construed in accordance with the laws of the United States, without regard to conflict of law principles. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts located in the United States.

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

16 Changes to These Terms

We may update these Terms from time to time. When we make material changes, we will update the "Last Updated" date at the top of this page and notify active users by email or through the Service where appropriate. Your continued use of the Service after changes take effect constitutes your acceptance of the updated Terms.
